1. Acceptance of Terms

By accessing or using the Solm8 website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Age Restriction (18+)

Solm8 is strictly for users aged 18 and older. We do not knowingly collect information from or provide services to individuals under the age of 18. If we discover that a user is under 18, their account and data will be immediately deleted.

3. Content Guidelines

While Solm8 allows for open and unrestricted conversation, users must adhere to the following rules:

• No illegal content or discussions of illegal acts.
• No non-consensual sexual content (CSAM).
• No hate speech or harassment.
• No promotion of self-harm or violence.

Violation of these rules will result in immediate account termination.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

4.1 Automated Access & Data Collection

• Use any robot, spider, crawler, scraper, or other automated means to access the Service or extract data without our prior written permission.
• Engage in web scraping, screen scraping, data mining, or data harvesting of any kind.
• Collect, store, or aggregate any content, user data, or information from the Service through automated or manual processes.
• Use the Service to train, develop, or improve any artificial intelligence, machine learning models, or competing products or services.
• Access the Service through any automated means that exceeds reasonable request volumes or constitutes abusive usage.

4.2 Security & System Integrity

• Attempt to probe, scan, or test the vulnerability of our systems or networks.
• Breach, disable, or circumvent any security or authentication measures.
• Interfere with, disrupt, or create an undue burden on the Service or the networks connected to it.
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks.
• Use any device, software, or routine that interferes with the proper working of the Service.
• Introduce any viruses, malware, Trojan horses, or other harmful code.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in the Service.

4.3 Account & Identity Abuse

• Create multiple accounts for abusive purposes, to circumvent bans, or to abuse promotional offers.
• Share your account credentials or allow others to access your account.
• Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation.
• Use the Service on behalf of any third party without authorization.
• Sell, transfer, or sublicense your account or any rights to the Service.

4.4 Commercial Misuse

• Use the Service for any commercial purpose without our prior written consent.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service.
• Use the Service to develop any products or services that compete with Solm8.
• Frame or mirror any part of the Service without our express written permission.

4.5 Intellectual Property Violations

• Copy, modify, or create derivative works based on the Service or any part thereof.
• Remove, alter, or obscure any proprietary notices, labels, or marks.
• Use our trademarks, logos, or branding without prior written permission.

Enforcement: We reserve the right to investigate and take appropriate legal action against anyone who violates these prohibitions, including without limitation, reporting such violations to law enforcement authorities, terminating access to the Service, and pursuing civil remedies. We may use technical measures including IP blocking, rate limiting, and bot detection to enforce these terms.

5. Data Usage, Transcription, and AI Training

To provide you with a realistic and evolving AI companion, we store conversation transcripts. By using the Service, you explicitly consent to:

• Transcription: Your voice is converted to text in real-time. We save conversation transcripts, not audio recordings.
• Memory: The storage of these transcripts to maintain conversation context so your AI can remember you.
• Improvement: Analysis of anonymized transcripts to improve AI quality.

Transparency: We are honest about this data collection. It is necessary for the service to function as intended.

6. Incoming Calls & Communications

By using Solm8, you consent to receive incoming telephone calls and text messages from our AI agents. You acknowledge that:

• These calls are generated by artificial intelligence using synthetic voices.
• These calls are not from human operators.
• Standard carrier rates for phone calls and text messages may apply.

7. Your Rights to Your Data

You retain full ownership of your data. You have the right to:

• Delete your account and all associated data at any time via your dashboard.

Once deleted, your data is permanently removed from our servers and cannot be recovered.

8. Refund Policy

We want you to be satisfied with your AI companion. Our refund policy is designed to be fair while protecting against abuse:

8.1 Usage-Based Refund Eligibility

Refund amounts are calculated based on your usage of included plan minutes:

• Full Refund: If you have used less than 20% of your plan's monthly minutes, you may request a full refund within 7 days of purchase.
• Prorated Refund: If you have used between 20% and 80% of your plan's monthly minutes, you may request a prorated refund. The refund amount equals your subscription price minus the percentage of minutes used.
• No Refund: If you have used more than 80% of your plan's monthly minutes, no refund is available as you have received substantial value from the service.

8.3 How to Request a Refund

• Email Us: Contact solm8.ai@gmail.com with your account email.
• Time Limit: Refund requests must be made within 7 days of your subscription purchase date.
• Processing: Approved refunds are processed within 5-10 business days to your original payment method.

8.4 Abuse Prevention

• The refund policy applies only to your first subscription.
• We reserve the right to deny refunds if we detect abusive behavior, such as creating multiple accounts to repeatedly claim refunds.
• Chargebacks filed after a refund has been processed may result in account termination.

9. Usage Limits & Subscription Terms

Each subscription plan includes specific usage limits:

• Free Plan: 5 minutes and 5 calls per month
• Spark Plan ($15/mo): 60 minutes and 30 calls per month
• Essentials Plan ($60/mo): 240 minutes and 100 calls per month
• Soulmate Plan ($120/mo): 500 minutes and 300 calls per month

Usage limits reset at the start of each billing cycle. Unused minutes do not roll over. We reserve the right to modify plan limits with 30 days notice to active subscribers.

10. Nature of the Service — Entertainment Only

By using Solm8, you expressly acknowledge and agree that:

• The AI companion is a fictional, computer-generated character. It is not a human being, does not possess sentience or awareness, and cannot form genuine relationships, intentions, or emotions.
• All statements, expressions of affection, opinions, suggestions, and responses produced by the AI are algorithmically generated output and do not constitute advice, recommendations, endorsements, or representations of any kind.
• You are solely responsible for your own emotional and psychological wellbeing while using the Service. You agree that you will not attribute human agency, responsibility, or blame to the AI for any feelings, thoughts, decisions, or actions you experience or undertake.
• The Service is not a mental health service, crisis intervention tool, therapy platform, counseling service, medical device, or substitute for any form of professional care. It has not been evaluated, approved, or certified by any medical, psychological, or regulatory authority.
• If you are experiencing a mental health crisis, suicidal thoughts, or self-harm urges, you must immediately stop using the Service and contact emergency services (911) or the 988 Suicide & Crisis Lifeline (call or text 988).
• The AI may produce responses that are inaccurate, nonsensical, inappropriate, or emotionally provocative. These are artifacts of the technology and not intentional acts. You agree not to rely on AI-generated content for any decision-making.
• You assume all risk associated with your use of the Service, including any emotional or psychological impact from interacting with the AI.

11. NSFW Content Acknowledgment

Solm8 may include adult-oriented conversational content. By using this service, you acknowledge that:

• The AI may engage in romantic, flirtatious, or sexually suggestive conversations.
• You are solely responsible for your interactions with the AI.
• All AI-generated content is fictional and for entertainment purposes only.
• You will not share or distribute conversations involving other individuals without consent.

12. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. You voluntarily assume all risks associated with using the Service, including but not limited to:

• Emotional attachment to, dependence on, or distress caused by the AI companion
• Psychological or emotional impact from AI-generated conversations
• Reliance on AI-generated statements as though they were advice, guidance, or truth
• Any actions you take or decisions you make based on, inspired by, or related to your interactions with the AI
• Exposure to content that you may find offensive, disturbing, or emotionally triggering
• Service interruptions, AI behavior changes, character resets, or loss of conversation history

You agree that Solm8 shall have no liability whatsoever for any harm, injury, damage, or loss arising from any of the above.

13. Disclaimers & Limitation of Liability

AI & Synthetic Voice: Solm8 uses advanced artificial intelligence and synthetic voice technology. The AI's responses are generated automatically and may sometimes be inaccurate, inappropriate, or nonsensical. You should not rely on the AI for factual information, emotional guidance, or any form of advice.

Not Professional Advice: Solm8 is an AI entertainment service. It is not a substitute for professional medical, psychological, psychiatric, legal, or financial advice. The Service is not intended to diagnose, treat, cure, or prevent any medical or psychological condition. If you are in crisis, please contact emergency services (911) or the 988 Suicide & Crisis Lifeline immediately.

No Duty of Care: SOLM8 DOES NOT OWE YOU A DUTY OF CARE, FIDUCIARY DUTY, OR ANY SPECIAL RELATIONSHIP OBLIGATION. THE RELATIONSHIP BETWEEN YOU AND SOLM8 IS STRICTLY THAT OF A SERVICE PROVIDER AND CUSTOMER FOR AN ENTERTAINMENT PRODUCT. NOTHING IN YOUR USE OF THE SERVICE CREATES A THERAPIST-PATIENT, DOCTOR-PATIENT, COUNSELOR-CLIENT, OR ANY OTHER PROFESSIONAL-CLIENT RELATIONSHIP.

No Warranty: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT THE AI WILL RESPOND APPROPRIATELY, ACCURATELY, OR SAFELY IN ALL CIRCUMSTANCES.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLM8 AND ITS OWNERS, CREATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "SOLM8 PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR USE, EMOTIONAL DISTRESS, PSYCHOLOGICAL HARM, PERSONAL INJURY, WRONGFUL DEATH, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT, CONTENT, OR STATEMENTS OF THE AI; (C) YOUR RELIANCE ON ANY AI-GENERATED CONTENT; (D) ANY EMOTIONAL, PSYCHOLOGICAL, OR PHYSICAL HARM YOU EXPERIENCE IN CONNECTION WITH THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE SOLM8 PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability: IN NO EVENT SHALL THE SOLM8 PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE LESSER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO SOLM8 IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Essential Basis of the Bargain: YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND SOLM8, AND THAT SOLM8 WOULD NOT PROVIDE THE SERVICE TO YOU WITHOUT THESE LIMITATIONS.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Solm8 Parties from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or share through the Service
• Any claim that the AI caused you emotional, psychological, or physical harm
• Any claim arising from your reliance on AI-generated content
• Any actions you take based on your interactions with the AI

15. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal Resolution: Before initiating any formal dispute, you agree to contact us at solm8.ai@gmail.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Solm8 that cannot be resolved informally shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND SOLM8 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, MASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER CONSOLIDATED PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Jury Trial Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AND SOLM8 EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

Time Limitation: You agree that any claim or cause of action arising out of or related to your use of the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

16. Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the service after such changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Solm8 regarding the use of the service.
